TERMS OF USE AND CONTENT LICENSING AGREEMENT

These Terms of Use and Content Licensing Agreement (“Agreement”) govern your access to and use of the website, platform, materials, courses, templates, assessments, and other content (collectively, the “Content”) made available by Prep2Teach (“Prep2Teach,” “we,” “us,” or “our”). By accessing the website, creating an account, or otherwise using the Content, you (“Licensee,” “you,” or “your”) agree to be bound by this Agreement. If you do not agree to these terms, do not access or use the Content.

1. Grant of License

Subject to your compliance with this Agreement and, where applicable, payment of any required fees, Prep2Teach grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Content solely for your professional/educational use, as applicable to your account type.

This license does not grant you:

Any ownership interest in the Content;
The right to sublicense, sell, rent, lease, distribute, or otherwise transfer the Content or access to it to any third party, including other faculty.
The right to create derivative works based on the Content; or
Any rights not expressly stated in this Agreement.

All rights not expressly granted to you are reserved by Prep2Teach.

2. Ownership of Intellectual Property

Prep2Teach owns and retains all right, title, and interest in and to the Content, including all associated intellectual property rights. This includes, without limitation, all text, graphics, lesson plans, curricula, assessments, templates, software, design elements, trademarks, logos, and any other materials made available through the website or platform, whether registered or unregistered (collectively, the “Prep2Teach IP”).

Nothing in this Agreement transfers ownership of any Prep2Teach IP to you. Your rights are limited strictly to the license described in Section 1. Except for that limited license, you acquire no right, title, or interest in the Content, whether by implication, estoppel, or otherwise.

Any feedback, suggestions, or ideas you provide to Prep2Teach regarding the Content may be used by Prep2Teach without restriction or compensation to you.

3. Restrictions on Use

You agree that you will NOT, and will not permit any third party to:

Copy, reproduce, distribute, publicly display, or publicly perform the Content except as expressly permitted by this Agreement;
Sell, resell, rent, lease, sublicense, or otherwise commercially exploit the Content;
Modify, adapt, translate, or create derivative works based on the Content;
Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, structure, or underlying methodology of any software, tool, or proprietary system associated with the Content;
Remove, obscure, or alter any copyright, trademark, or other proprietary notices contained in or on the Content;
Use the Content to build or train a competing product or service; or
Circumvent any technological measure used to protect or control access to the Content.

Any use of the Content beyond the scope of the license granted in Section 1 requires prior written consent from Prep2Teach and may be subject to separate licensing terms and fees.

4. Term and Termination

This Agreement remains in effect for as long as you access or use the Content. Prep2Teach may suspend or terminate your access to the Content at any time, with or without cause, including for any violation of this Agreement. Upon termination, your license to use the Content immediately ends, and you must cease all use of the Content and destroy or delete any copies in your possession or control.

Sections 2 (Ownership of Intellectual Property), 3 (Restrictions on Use), 5 (Disclaimers), 6 (Limitation of Liability), and 7 (General Provisions) survive termination of this Agreement.

5. Disclaimers

THE CONTENT IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. PREP2TEACH DOES NOT WARRANT THAT THE CONTENT WILL BE ERROR-FREE, UNINTERRUPTED, OR MEET YOUR SPECIFIC REQUIREMENTS.

6. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PREP2TEACH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, ARISING OUT OF OR RELATED TO YOUR USE OF THE CONTENT, EVEN IF PREP2TEACH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. PREP2TEACH’S TOTAL LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU, IF ANY, TO PREP2TEACH IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

7. General Provisions

7.1 Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of [North Carolina], without regard to its conflict of laws principles. Any disputes arising under this Agreement shall be resolved in the state or federal courts located in [New Hanover County/North Carolina], and you consent to the personal jurisdiction of such courts.

7.2 Changes to This Agreement

Prep2Teach may update this Agreement from time to time. Material changes will be indicated by updating the “Last Updated” date above. Your continued use of the Content after changes take effect constitutes acceptance of the revised Agreement.

7.3 Severability

If any provision of this Agreement is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force and effect.

7.4 No Waiver

Prep2Teach’s failure to enforce any right or provision of this Agreement will not be deemed a waiver of such right or provision.

7.5 Entire Agreement

This Agreement, together with any additional terms referenced herein (such as a separate Privacy Policy), constitutes the entire agreement between you and Prep2Teach regarding the Content and supersedes any prior agreements or understandings, whether written or oral.
